Winbond Electronics has agreed to acquire Infineon's NOR flash and F‑RAM (ferroelectric RAM) businesses for $1.12 billion in cash (~RMB 7.53B). The deal is expected to close in H2 2027, subject to regulatory approvals.

Winbond plans to revive the Spansion brand for the acquired business, with a new entity headquartered in the United States operating independently. Spansion was originally formed in 2003 from the combined flash operations of AMD and Fujitsu. It was acquired by Cypress Semiconductor in 2014, and Cypress was later acquired by Infineon in 2020 – bringing Spansion's assets under Infineon.

If completed, the acquisition would mark the return of the Spansion name to the memory market after years of dormancy, and reshape the NOR flash competitive landscape.
